GoTo emphasizes compliance and long-term value creation as government confirms merger discussions with Grab
GoTo Gojek Tokopedia (GOTO) has officially responded to speculation about a potential merger with Grab Holdings after Indonesian officials confirmed discussions are underway at the Presidential Palace. While the government sees the merger as a step toward strengthening the digital economy, GoTo clarified that no decisions or agreements have been made.
Government Confirms Merger Discussions
Minister of State Secretary Prasetyo Hadi confirmed that discussions on the possible merger between Grab and GoTo are currently taking place within the government. Speaking to reporters at the Presidential Palace on November 7, he said the merger aims to sustain the operations of two of Indonesia’s most vital tech-driven service providers. “Yes, it’s true. The merger plan is being discussed, and the government is reviewing possible frameworks,” Prasetyo said.
He added that the government’s involvement is to ensure continuity in services that support millions of workers in Indonesia’s gig economy. “Ride-hailing and food delivery drivers are economic heroes who keep the wheels of the economy turning,” he said. “Our goal is to ensure their livelihood remains secure.”
Role of BPI Danantara in the Potential Deal
Prasetyo revealed that the National Investment Management Agency, known as Badan Pengelola Investasi Daya Anagata Nusantara (BPI Danantara), could play a significant role in structuring the deal. The government has yet to decide whether the arrangement will take the form of a merger or an acquisition, but he noted that discussions are ongoing. “There’s no deadline, but we’re moving quickly,” he added.
GoTo’s Official Response: No Agreement Yet
In a formal statement issued on November 10, GoTo’s Director of Legal and Group Corporate Secretary, R.A. Koesoemohadiani, clarified that the company has not reached any decision or agreement regarding the merger. “Every step taken by GoTo complies with prevailing regulations for public companies,” she stated.
Koesoemohadiani emphasized that the company’s focus remains on long-term value creation and the best interests of all stakeholders, including shareholders, driver-partners, MSMEs, and customers. “GoTo welcomes the government’s continued efforts to strengthen Indonesia’s digital ecosystem and remains committed to supporting policies that promote a fair and sustainable industry,” she added.
Focus on Profitability and Corporate Governance
GoTo highlighted that it is currently in one of its strongest financial positions in recent years, supported by strategic plans for sustainable profitability. Koesoemohadiani also clarified that the upcoming Extraordinary General Meeting of Shareholders (EGMS) scheduled for November 25, 2025, is purely a governance matter unrelated to any merger agenda. “The EGMS agenda should not raise concerns. Details will be disclosed according to regulations when the formal invitation is issued,” she said.
Balancing Growth and Regulation
Both GoTo and Grab have been central to Southeast Asia’s digital economy, connecting millions of users and micro-entrepreneurs. Any merger between them would reshape Indonesia’s ride-hailing, logistics, and e-commerce landscape. Industry observers note that such a move could lead to greater operational efficiency but may also attract regulatory scrutiny from competition watchdogs like KPPU.
Outlook for Indonesia’s Digital Ecosystem
For the Indonesian government, a successful consolidation could strengthen national digital infrastructure and help streamline investment in the tech sector. However, transparency and fairness will be key in ensuring that small businesses, gig workers, and consumers continue to benefit from innovation-driven growth.
As the Palace-led talks between GoTo and Grab gain traction, Indonesia’s tech ecosystem stands at a turning point. GoTo’s reassurance of compliance and long-term focus reflects the balancing act between public policy goals and corporate independence. Whether the plan materializes into a merger or acquisition, its outcome could redefine the future of Indonesia’s digital economy.
